These Terms and Conditions constitute a legally binding agreement between you and Imperigo, LLC ("Company," "we," "us," "our") regarding your access to and use of imperigo.com and our related Services.
Imperigo is a data platform that aggregates and organizes publicly available nonprofit and foundation information, including IRS Form 990 data, to help users research organizations, analyze funding activity, and identify potential opportunities. Imperigo does not provide financial, legal, or tax advice.

By accessing the Services, you agree to be bound by these Legal Terms. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE IMMEDIATELY.
The Services are intended for users who are at least 18 years old. We will notify you of scheduled changes; continued use after the effective date constitutes acceptance of the modified terms.
Our services
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would be contrary to law or would subject us to any registration requirement. Persons who access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
The Services are not tailored to comply with industry-specific regulations such as HIPAA or FISMA. You may not use the Services in a way that would violate the Gramm-Leach-Bliley Act (GLBA).
Intellectual property rights
We own or license all intellectual property rights in the Services, including all source code, databases, software, website designs, text, photographs, and graphics ("Content"), as well as our trademarks, service marks, and logos ("Marks"). These are protected by US and international copyright and trademark law.
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print Content solely for your personal, non-commercial use or internal business purposes.
No Content or Marks may be copied, reproduced, distributed, sold, or otherwise exploited for any commercial purpose without our express prior written permission. Requests may be directed to hello@imperigo.com.
By sending us any question, comment, suggestion, or feedback ("Submissions"), you assign to us all intellectual property rights in that Submission. We shall own the Submission and may use it for any lawful purpose without acknowledgment or compensation.
User representations
By using the Services, you represent and warrant that: (1) all registration information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity to agree to these Legal Terms; (4) you are not a minor in your jurisdiction; (5) you will not access the Services through bots, scripts, or other automated means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use will not violate any applicable law or regulation.
Providing inaccurate or false information gives us the right to suspend or terminate your account.
User registration
You may be required to register to use the Services. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove, reclaim, or change a username at our discretion if we deem it inappropriate, obscene, or objectionable.
Purchases & payment
We accept Visa, Mastercard, American Express, Discover, PayPal, Apple Pay, and Google Pay. All payments are in US dollars. You agree to provide accurate payment information and keep it updated. We reserve the right to correct any pricing errors and to refuse or limit any order at our discretion.
Subscriptions
Billing & renewal: Subscriptions auto-renew unless canceled. You authorize recurring charges to your payment method without further approval until you cancel.
Free trial: We offer a 14-day free trial for new users. Your account will not be charged until you upgrade to a paid plan.
Cancellation: Cancel any time from your account settings. Cancellation takes effect at the end of the current billing period. For help, email hello@imperigo.com.
Fee changes: We may change subscription fees and will communicate price changes in accordance with applicable law.
Prohibited activities
You may not access or use the Services for any purpose other than that for which we make them available. You agree not to:
- Systematically retrieve data to build a competing collection, database, or directory without our written permission
- Trick, defraud, or mislead us or other users to obtain sensitive account information
- Circumvent, disable, or interfere with security-related features of the Services
- Disparage, tarnish, or harm us or the Services
- Use data obtained from the Services to harass, abuse, or harm any person
- Make improper use of our support services or submit false abuse reports
- Use the Services in a manner inconsistent with applicable laws or regulations
- Engage in unauthorized framing of or linking to the Services
- Upload viruses, Trojan horses, or other disruptive material
- Engage in automated use (bots, scripts, scrapers, data-mining tools) without our permission
- Delete any copyright or proprietary rights notice from Content
- Impersonate another user or person
- Reproduce, duplicate, copy, sell, or resell any data or Content obtained from the platform
- Use the Services as part of any effort to compete with us or for any unauthorized commercial enterprise
- Sell or transfer your profile
- Rely on the platform for critical decisions without independent verification
User generated contributions
The Services do not currently offer users the ability to submit or post public content. If and when contributions are enabled, you represent and warrant that any content you submit: does not infringe third-party rights; is not false, misleading, or obscene; does not violate any applicable law; and does not violate the privacy or publicity rights of any person.
Contribution license
You retain full ownership of any Contributions and associated intellectual property rights. By submitting feedback or suggestions, you agree we may use and share that feedback for any purpose without compensation. We are not liable for statements or representations in your Contributions.
Third-party websites & content
The Services may contain links to third-party websites or content that we do not investigate, monitor, or check for accuracy. We are not responsible for any third-party content accessed through the Services. If you leave the Services to visit a third-party site, these Legal Terms no longer govern and you proceed at your own risk.
Services management
We reserve the right, but not the obligation, to: (1) monitor the Services for violations; (2) take appropriate legal action against violators; (3) restrict or disable any Contributions at our discretion; (4) remove files that are excessive in size or burdensome to our systems; and (5) otherwise manage the Services to protect our rights and facilitate proper functioning.
Privacy policy
By using the Services, you agree to be bound by our Privacy Policy, which is incorporated into these Legal Terms. The Services are hosted in the United States. By continuing to use the Services from outside the US, you consent to the transfer of your data to and processing in the United States.
Term & termination
These Legal Terms remain in full force and effect while you use the Services. WE RESERVE THE RIGHT TO DENY ACCESS TO AND USE OF THE SERVICES, INCLUDING BLOCKING CERTAIN IP ADDRESSES, TO ANY PERSON FOR ANY REASON OR FOR NO REASON, WITHOUT NOTICE OR LIABILITY. We may terminate your account and delete any content you have posted at any time, in our sole discretion, without warning.
If your account is terminated, you are prohibited from creating a new account under any name. We reserve the right to pursue appropriate legal action including civil, criminal, and injunctive redress.
Dispute resolution
Informal negotiations
Before initiating arbitration, the parties agree to attempt informal resolution for at least 30 days via written notice.
Binding arbitration
Unresolved disputes will be finally and exclusively resolved by binding arbitration under the AAA Commercial Arbitration Rules, with arbitration taking place in Fairfax County, Virginia. YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
No arbitration shall be joined with any other proceeding or conducted on a class-action basis. Any dispute must be commenced within one (1) year after the cause of action arises.
Exceptions
The following Disputes are not subject to arbitration: (a) enforcement or protection of intellectual property rights; (b) allegations of theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief.
Disclaimer
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT AND ASSUME NO LIABILITY FOR (1) ERRORS OR INACCURACIES OF CONTENT; (2) PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE; (3) UNAUTHORIZED ACCESS TO OUR SERVERS OR PERSONAL/FINANCIAL INFORMATION; (4) ANY INTERRUPTION OR CESSATION OF TRANSMISSION; (5) BUGS, VIRUSES, OR TROJAN HORSES TRANSMITTED THROUGH THE SERVICES; OR (6) ANY LOSS OR DAMAGE OF ANY KIND FROM USE OF CONTENT POSTED OR MADE AVAILABLE VIA THE SERVICES.
Limitations of liability
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US IN THE SIX (6) MONTHS PRIOR TO ANY CAUSE OF ACTION ARISING, OR $100.00 USD. CERTAIN STATE AND INTERNATIONAL LAWS DO NOT ALLOW THESE LIMITATIONS — IF THEY APPLY TO YOU, SOME OR ALL OF THE ABOVE MAY NOT APPLY.
Indemnification
You agree to defend, indemnify, and hold harmless Imperigo, LLC and its officers, agents, partners, and employees from any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising from: (1) your use of the Services; (2) breach of these Legal Terms; (3) any breach of your representations and warranties; (4) violation of a third party's rights; or (5) any overt harmful act toward another user. We reserve the right, at your expense, to assume exclusive defense and control of any indemnified matter.
User data
We maintain certain data you transmit to the Services for performance management purposes. Although we perform regular backups, you are solely responsible for all data you transmit or activities you undertake using the Services. We have no liability to you for any loss or corruption of such data, and you waive any right of action against us arising from such loss or corruption.
Electronic communications
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, orders, and records, and waive any requirement for original (non-electronic) signatures or records.
California users & residents
If any complaint with us is not satisfactorily resolved, California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
Miscellaneous
These Legal Terms and any policies or operating rules posted by us constitute the entire agreement between you and us. Our failure to exercise any right or provision shall not operate as a waiver. If any provision is determined to be unlawful, void, or unenforceable, it is deemed severable and does not affect the validity of remaining provisions. There is no joint venture, partnership, employment, or agency relationship between you and us as a result of these Legal Terms.
Data accuracy & third-party information
All IRS Form 990 and public records data is sourced from third-party databases. The accuracy, completeness, and timeliness of such data is outside of Imperigo's control.
Imperigo aggregates and displays data obtained from publicly available sources, including but not limited to IRS Form 990 filings and other third-party records. While we strive to present accurate and up-to-date information, Imperigo does not guarantee the accuracy, completeness, reliability, or timeliness of any data displayed on the platform.
All information is provided for general informational and research purposes only and should not be relied upon as financial, legal, tax, or professional advice. Users are solely responsible for independently verifying any information before making decisions based on it. Imperigo shall not be held liable for any errors, omissions, or inaccuracies in the data, or for any actions taken in reliance on such information.
